Terms of Use

The terms that govern access to the OGRoute website, trader frontend, routing API and documentation.

Last updated:

1.Introduction

1.1These Terms of Use ("Terms") govern access to the OGRoute website, trader frontend, routing application programming interface (API), documentation and related services (together, the "Services"). References to "OGRoute", "we", "us" or "our" mean the provider of these Services identified in the contact section of our Privacy Policy. "You" means the individual or business accessing the Services.

1.2By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services. If you act for a business, you confirm that you are authorised to accept these Terms on its behalf, and references to you include that business.

1.3A separate written agreement for a business integration or paid service takes priority over these Terms to the extent of a conflict concerning that service. Documentation specifies technical requirements but does not create an additional service guarantee unless expressly incorporated into your agreement.

2.Eligibility and Restrictions on Use

2.1You must be at least 18 years old, have the legal capacity to enter this agreement and be permitted to use the Services under the laws applicable to you. A business user must be validly established and act through an authorised representative.

2.2You must not use the Services in breach of applicable sanctions, export controls or other legal restrictions, or on behalf of a person whose use is prohibited. Availability of a website or API does not establish that its use is lawful in your location.

2.3We may restrict access where required by law or reasonably necessary to enforce these Terms. You must not evade restrictions through false information, alternative credentials or other means.

3.Prohibited Activities

3.1You must not use the Services for fraud, money laundering, terrorist financing, unlawful transactions, infringement of another person’s rights or any other unlawful purpose.

3.2You must not introduce malicious code, disrupt infrastructure, gain unauthorised access, misuse another person’s credentials, manipulate requests to exploit a vulnerability, or bypass published technical limits. Automated API use consistent with an authorised integration is permitted; abusive automation is not.

3.3You must not impersonate OGRoute, misrepresent a partnership or approval, harvest personal data unlawfully, or use the Services to facilitate prohibited conduct by others.

4.Services Provided by OGRoute

4.1OGRoute provides routing technology that considers liquidity from connected pools and DEX protocols, evaluates paths for a swap request and returns a route or quote. A route may use a single path or split a trade where the engine identifies an appropriate combination. Businesses can access routing through the API, and individuals can use the trader frontend.

4.2Availability depends on supported networks, assets, connected liquidity and the relevant service configuration. OGRoute does not search every liquidity source or guarantee that a route exists for every request. Support for several networks does not by itself mean that assets can be swapped between those networks.

4.3OGRoute does not provide investment, legal or tax advice. A returned route, listed asset or displayed quote is not a recommendation or an endorsement of a token, protocol or transaction.

4.4You are responsible for your wallet and the transaction permissions you approve. Do not disclose private keys or seed phrases to OGRoute. A quote or route response alone does not transfer assets or complete a transaction.

5.Swap Requests and Transactions

5.1Before authorising a transaction, verify the network, token contract addresses, assets, amount, recipient, route, slippage settings, minimum output where shown, approvals and fees. Similar token names or symbols do not establish that two assets are the same.

5.2A quote reflects the information and conditions available when it is generated. Liquidity, prices, network costs and other parameters may change before a transaction is confirmed. A quote is not a promise of execution, a guaranteed final amount or an obligation to compensate for market movements.

5.3Transaction completion depends on the relevant wallet, blockchain and smart contracts. A request may expire, fail, revert or be delayed. A transaction that fails may still incur network charges. Review the final wallet request, including any permissions granted to a smart contract, before signing.

5.4Confirmed blockchain transactions generally cannot be cancelled or reversed through OGRoute. Disconnecting a wallet or stopping use of the Services does not revoke token approvals or cancel a transaction already submitted to a network. You must manage approvals through the relevant wallet or blockchain tools.

6.Risk Disclosure

6.1Digital assets can fluctuate sharply in value and may lose all value. Thin liquidity, price impact, market movements and transaction ordering can affect the result of a swap. You should use the Services only if you understand these risks and can bear potential losses.

6.2Smart contracts and third-party protocols may contain defects, be compromised, change their operation or become unavailable. Wallet compromise, malicious tokens, incorrect approvals, network congestion, forks and infrastructure failures can cause losses or prevent access to assets.

6.3Routing improvements, historical comparisons and benchmark results do not guarantee future quotes or transaction outcomes. Quote comparisons are distinct from completed transactions and must be read with the methodology and limitations accompanying them.

6.4The risk descriptions are not exhaustive. Consider the OGRoute Disclaimer and the relevant third-party disclosures before using the Services. Neither those disclosures nor these Terms limit rights or liabilities that cannot lawfully be excluded.

7.Wallet Access and API Credentials

7.1Use a compatible wallet and protect its credentials. Do not send a seed phrase or private key to support or include wallet secrets in an API request.

7.2Where API credentials or other access credentials are issued, provide accurate information, keep credentials secure and use them only within the authorised integration. Notify us promptly of suspected compromise and follow the relevant credential replacement procedure.

7.3You are responsible for activities that you authorise or permit through your integration and for reasonable protection of your credentials. This does not exclude responsibility on our part where applicable law or a separate agreement makes us responsible.

8.Rights and Limitations on Use

8.1Subject to these Terms and any applicable agreement, we grant you a limited, non-exclusive right to access the Services for personal use or an authorised business integration. This permission does not transfer ownership of OGRoute’s software, routing technology, documentation, branding or other intellectual property.

8.2You must not reproduce or commercially redistribute proprietary materials, offer an unauthorised resale of API access, or reverse engineer proprietary components except where applicable law expressly permits it. An authorised integration may use API responses to provide the agreed functionality to its users.

8.3Separate licences govern open-source components and third-party materials. These Terms do not override permissions granted by those licences. Rights not expressly granted remain with their respective owners.

9.User and Business Integration Obligations

9.1You are responsible for the accuracy and legality of the requests you submit and the information you provide. Keep integration contact information current and obtain any permissions necessary to submit information relating to another person.

9.2Business integrators must implement and test the API in accordance with the applicable documentation, protect credentials, observe communicated limits and handle errors appropriately. You are responsible for your own interface, configuration, wallet-signing flow and customer support arrangements.

9.3Businesses must present quotes, fees and transaction parameters accurately and must not imply a guaranteed outcome that OGRoute has not agreed to provide. Your users should have a meaningful opportunity to review transaction details before authorisation.

9.4An integration does not establish an agency, partnership or authority to bind OGRoute. Your own terms and privacy notice must explain your service and responsibilities. Each party remains responsible for its own legal and data protection obligations.

10.Fees and Paid Services

10.1Where a service is chargeable, the applicable fees and charging basis are disclosed in the relevant interface, checkout or written agreement. You agree to pay the charges you accept. Blockchain network fees and fees charged by independent protocols or integrators are separate from OGRoute’s charges.

10.2Any subscription term, usage allowance, renewal arrangement, cancellation process and refund entitlement is set out in the applicable plan or agreement. Mandatory consumer rights continue to apply. Cancelling a service does not remove amounts lawfully due for services already provided.

10.3We communicate changes to our fees before they apply to future use, in accordance with the applicable agreement and law. We do not obtain a general right under these Terms to debit a wallet without the required authorisation.

11.Changes Interruption and Termination of Services

11.1We may update features, supported assets, networks or API versions. Where reasonably practicable, we provide notice of changes materially affecting an active integration, subject to any separate agreement. A roadmap statement is not a binding delivery commitment.

11.2Access may be interrupted for maintenance, outages, security issues or failures of third-party infrastructure. An uptime commitment, support response time or service credit applies only where expressly agreed in writing.

11.3We may suspend or terminate access for a material breach, unlawful use, non-payment of agreed charges or a credible security risk. We provide notice and an opportunity to remedy where appropriate, unless immediate action is reasonably necessary or required by law.

11.4You may stop using the Services or end a paid service in accordance with its applicable terms. On termination, cease use of terminated credentials. Accrued payment obligations and provisions intended to survive, including intellectual property, liability and dispute provisions, remain effective. Suspension of our Services does not give us control of assets in your wallet.

12.Compliance with Local Laws and Taxes

12.1You are responsible for determining whether your use of the Services and transactions are permitted and for any reporting or tax obligations arising from your activity. Business integrators must obtain licences or approvals required for their own operations.

12.2We may comply with lawful requests from competent authorities and enforce applicable restrictions within systems we control. Any disclosure of personal data is subject to our Privacy Policy and applicable law. These Terms do not grant us powers to seize assets in an independently controlled wallet.

13.Privacy Policy

13.1Our Privacy Policy explains how we handle personal data through the website, frontend, API and related interactions. Our Cookie Policy explains relevant cookies and similar technologies. Acceptance of these Terms does not replace consent where separate consent is required.

13.2Where a business integration requires a data processing agreement, the parties must establish the applicable responsibilities. A business remains responsible for informing its users about its own processing and obtaining the legal basis required for sharing their information.

14.Warranties Liability and Indemnification

14.1Except for express commitments in a separate agreement and rights that cannot be excluded by law, the Services are provided as available. To the extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise uninterrupted operation or that every route, token or transaction will be available or error-free.

14.2To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses arising from these Terms. For business users, this includes loss of anticipated profits or business opportunities to the extent such losses may lawfully be excluded.

14.3Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, deliberate misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Consumer rights and mandatory data protection rights remain unaffected.

14.4To the extent permitted by law, a business user will indemnify us against third-party claims and reasonable resulting costs caused by its unlawful use of the Services, infringement of third-party rights or material breach of these Terms. This does not cover losses caused by our own breach or wrongdoing. We will provide prompt notice of a claim and reasonable cooperation; no settlement imposing an admission or obligation on the other party may be made without its consent.

14.5Neither party is responsible for a failure to perform caused by events beyond its reasonable control, provided it takes reasonable steps to mitigate the effect and resumes performance when possible. This does not excuse payment obligations already due or obligations that applicable law requires to continue.

15.Variation of These Terms

15.1We may revise these Terms to reflect changes to the Services or applicable requirements. The last updated date identifies the current version. We provide notice of material changes and any notice period or acceptance process required by law or an applicable agreement.

15.2If you do not accept a change, stop using the affected Services and use the applicable cancellation procedure. Changes do not retrospectively remove accrued rights or override mandatory legal protections.

16.Transfer of Business

16.1We may transfer this agreement as part of a merger, reorganisation or sale of the relevant business, subject to applicable law and any separate agreement. We notify you where required and preserve any mandatory cancellation or objection rights.

16.2Personal data transferred in connection with such a transaction is handled under our Privacy Policy and applicable law. A business transfer does not transfer custody of assets that remain in your independently controlled wallet.

17.Disclaimer

17.1Website content, demonstrations, route displays and performance information explain the Services and are not personal financial advice. Third-party content and protocol availability do not constitute our endorsement. Forward-looking statements are subject to change.

17.2The OGRoute Disclaimer provides further information about the limitations of quotes, routing and third-party dependencies. These Terms govern the contractual relationship; neither document overrides an express written commitment or a mandatory legal right.

18.Governing Law

18.1Applicable law determines the law governing these Terms, unless a separate written agreement validly specifies otherwise. Nothing in these Terms deprives a consumer of mandatory protections under laws that apply to that consumer’s circumstances.

19.Jurisdiction and Dispute Resolution

19.1Please contact us about a dispute with sufficient information to identify the issue. The parties will attempt to resolve it in good faith. This does not prevent urgent relief, regulator complaints or a claim within a statutory deadline.

19.2If a dispute is not resolved, either party may bring it before a court with jurisdiction under applicable law, subject to any valid dispute resolution provision in a separate written agreement. Mandatory rights to bring proceedings in a competent forum remain unaffected.

20.Separability and Miscellaneous

20.1If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent lawful. A failure or delay in enforcing a right is not a waiver of that right.

20.2These Terms and an applicable separate written agreement comprise the agreement concerning use of the Services. They do not exclude responsibility for fraud or override mandatory rights. You may not assign contractual rights or obligations without our consent, except where applicable law permits.

20.3Notices may be delivered through the Services or the contact details provided for your integration, where appropriate. Electronic communications do not replace a form of notice required by law. The parties are independent, and no partnership, employment or agency relationship is created.

21.Definitions and Interpretation

21.1"Digital assets" means tokens or other blockchain-based assets relevant to a request. A "quote" is an indicative response for specified swap parameters. A "route" is a proposed path or combination of paths through connected liquidity. A "business integrator" is a business that uses the API within its own service.

21.2"Third-party services" include independently operated wallets, DEX protocols, blockchain networks and supporting infrastructure. References to applicable law mean laws and legally binding requirements relevant to the party and activity concerned. Headings aid navigation and do not change the meaning of a provision.

22.Contacting OGRoute

22.1For questions, complaints or notices concerning these Terms, use the contact details in the contact section of the OGRoute Privacy Policy. Business integrators may also use the contact specified in their written agreement. Include relevant request or transaction identifiers where available, but never send a seed phrase or private key.
